Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you” or the “Customer”) and Lumexa (“Lumexa”, “we”, “us”, or “our”) governing your use of our websites, applications, APIs, and related services (together, the “Service”).

By creating an account, starting a guest session, clicking “Start Building”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you are using Lumexa on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

If you do not agree with these Terms, you must not access or use the Service.

Lumexa is an AI-powered product development platform. You describe what you want to build in natural language — optionally attaching a PRD, specification, designs, or other reference documents — and Lumexa acts as your product manager, business analyst, CTO, and UI/UX designer to help you plan, generate, preview, and iterate on working software. Depending on your plan, the Service may include:

• AI-assisted requirements gathering, product requirement documents (PRDs), and project planning;
• Automated generation of application source code, schemas, and configuration;
• Hosted build and preview environments so you can see and test your project;
• Iterative editing through chat, including refinements to features, copy, and design;
• Mirroring of generated code to private repositories and downloadable exports of your project;
• Collaboration, billing, and project-management tooling.

Features vary by plan and may change over time as we improve the Service. We do not guarantee that any particular feature, model, or integration will remain available.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You agree to provide accurate, current, and complete information when you register and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at security@lumexa.ai if you suspect any unauthorized use. We are not liable for losses arising from your failure to protect your credentials.

Lumexa lets you begin building without signing up by starting a guest session. Guest sessions are provided for evaluation and are subject to additional limits: projects, generated assets, and uploaded documents created during a guest session may be retained only temporarily and may be deleted if you do not create an account and claim them. To preserve, export, or continue working on a project, you must register an account.

Some features are free; others require a paid subscription or one-time purchase (for example, exporting or downloading your generated project). Pricing, usage limits, and the features included in each plan are described at the point of purchase.

• Subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processor to charge your payment method for each renewal at the then-current rate.
• One-time purchases (such as paid downloads) are charged at the time of the transaction.
• Taxes may be added where required. Fees are stated exclusive of applicable taxes unless noted otherwise.
• Cancellation takes effect at the end of the current billing period; you retain access until then. You can cancel from your billing settings.
• Refunds. Except where required by law, fees are non-refundable. Because generated output and downloads deliver value immediately, they are generally not eligible for refund once produced.

Payments are processed by a third-party payment provider. We do not store full payment card numbers. If a charge fails, we may suspend paid features until payment is resolved.

“Inputs” means everything you submit to the Service, including your ideas, prompts, chat messages, uploaded documents (such as PRDs, specs, or designs), and other materials. You retain all rights you hold in your Inputs.

You represent and warrant that you own or have the necessary rights to your Inputs and that they do not infringe any third party’s intellectual property, privacy, or other rights, and do not violate any law. You are solely responsible for your Inputs.

You grant Lumexa a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and create derivative works from your Inputs solely as needed to operate, provide, secure, and improve the Service for you — including by passing relevant content to the AI model providers and infrastructure sub-processors described in our Privacy Policy. We do not sell your Inputs, and we do not use your private project Inputs to train publicly shared foundation models.

“Output” means the code, PRDs, designs, text, and other materials the Service generates for you in response to your Inputs. Subject to your compliance with these Terms and payment of any applicable fees, Lumexa assigns to you all of its right, title, and interest in the Output generated for your project, so that you may use it for any lawful purpose, including commercially.

You acknowledge that:

• Output is generated by AI and is not unique to you — other users may receive the same or similar Output in response to similar Inputs, and we may generate comparable material for others.
• Output may include or depend on open-source components and third-party libraries that carry their own licenses. You are responsible for reviewing and complying with those licenses.
• You are responsible for reviewing, testing, securing, and validating Output before relying on it or deploying it to production.

Access to certain Output (for example, full source-code downloads or repository mirrors) may be gated behind a paid plan.

You agree not to use the Service to:

• build, generate, or distribute anything illegal, harmful, fraudulent, deceptive, or that infringes others’ rights;
• create malware, spyware, phishing tools, or other code designed to harm systems or people;
• generate content that is defamatory, harassing, hateful, sexually exploitative, or that targets minors;
• violate the privacy of others or process personal data without a lawful basis;
• reverse engineer, scrape, or attempt to extract the underlying models, prompts, or source code of the Service except as permitted by law;
• circumvent usage limits, rate limits, authentication, or billing;
• resell, sublicense, or provide the Service to third parties as a competing offering without our written permission;
• interfere with or disrupt the integrity, security, or performance of the Service or its infrastructure.

We may investigate suspected violations and take appropriate action, including removing content and suspending or terminating accounts.

The Service uses large language models and other AI systems. By their nature, these systems are probabilistic and can produce results that are inaccurate, incomplete, insecure, biased, out of date, or otherwise unsuitable for your purpose, even when the Output appears confident or polished.

Lumexa does not guarantee that Output is correct, functional, secure, non-infringing, or fit for any particular purpose. Output is provided as a starting point and an aid to your own work. You are responsible for independently reviewing, testing, and validating any Output — and for conducting appropriate security, legal, and quality reviews — before relying on it, publishing it, or deploying it. Do not submit information you are not permitted to share with third-party AI providers.

The Service relies on third-party providers to function, including cloud infrastructure (such as Amazon Web Services), AI model providers, source-code hosting, analytics, and payment processing. Your use of the Service may be subject to those providers’ terms, and their availability is outside our control. We are not responsible for the acts, omissions, or outages of third-party providers, and integrations may change or be discontinued.

Depending on your plan, Lumexa can mirror your generated project to a private repository and provide downloadable exports. Where mirroring is enabled, you authorize us to create and write to repositories on your behalf for your projects. You are responsible for how you subsequently use, host, secure, and distribute exported code, and for complying with the licenses of any included third-party components. Once code has been exported or downloaded, we cannot recall it, and such purchases are generally non-refundable.

We treat the non-public Inputs and projects in your account as confidential and limit internal access to those who need it to operate the Service. Likewise, you agree to keep confidential any non-public information about the Service that we share with you. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

The Service itself — including the Lumexa platform, software, models and model orchestration, user interface, “Lumexa” name and logo, and all related intellectual property — is owned by Lumexa and its licensors and is protected by law. Except for the rights to your Output expressly granted above, these Terms do not transfer any of our intellectual property to you. We welcome feedback, and you grant us a perpetual, royalty-free right to use any feedback you provide to improve the Service.

You may stop using the Service and close your account at any time. We may suspend or terminate your access — with or without notice — if you breach these Terms, if required by law, to protect the Service or other users, or for non-payment.

On termination, your right to use the Service ends. We may delete your projects, Inputs, and Output after a reasonable period, except where we are required or permitted to retain them. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

The Service and all Output are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that Output will meet your requirements or be free of defects. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

To the maximum extent permitted by law, Lumexa and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Lumexa for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations form an essential basis of the bargain between us.

You agree to defend, indemnify, and hold harmless Lumexa and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Inputs, your Output and how you use or deploy it, your violation of these Terms or applicable law, or your infringement of any third party’s rights.

We may modify the Service at any time, including adding, changing, or removing features. We may also update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date or notifying you in-product. Changes take effect when posted, and your continued use of the Service after that constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Lumexa is established, without regard to its conflict-of-laws rules. You agree to first attempt to resolve any dispute with us informally by contacting legal@lumexa.ai. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where applicable law gives you the right to bring proceedings elsewhere. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer.

If you provide your phone number and opt in, you consent to receive notifications from Lumexa by WhatsApp and/or SMS about your account and projects — for example, a message letting you know when your app build is ready, together with related service and security alerts. These are transactional messages tied to your use of the Service, and receiving marketing messages is never a condition of purchasing or using Lumexa.

Message frequency varies depending on your activity. Message and data rates may apply from your mobile carrier. You can opt out at any time by replying STOP to any message or by disabling notifications in your account settings, and you can reply HELP for assistance. Mobile carriers are not liable for delayed or undelivered messages.

We handle your phone number as described in our Privacy Policy. We do not sell your phone number, and we do not share your phone number, mobile opt-in, or messaging consent with third parties or affiliates for their marketing or promotional purposes; we share it only with the messaging providers (such as Twilio) that deliver the messages you requested.
